Preamble
Private Outlet is a website for on-line promotional sales and a social networking service provided by Private Outlet SAS, 7 rue du Landy 93210, La Plaine Saint Denis, France, which enables its Members to access sales of products from leading brands with strong reductions, compared with prices offered to the general public, and to create on-line personal profiles, to invite, and to communicate with old and new friends, and to publish public messages on the Private Outlet Website blog. The Services offered by Private Outlet include the Private Outlet Website and all other functions, content and applications occasionally put forward by Private Outlet in connection with the Private Outlet Website. The Private Outlet Services’ principle place of business is in France.
When you become a member of Private Outlet, you undertake to respect its current Terms and Conditions. If you do not accept these Terms and Conditions, you may not become a member of Private Outlet. Membership of Private Outlet implies full and complete acceptance of the following by the member.
Article 1 – Becoming a member of Private Outlet
In order to be a member of Private Outlet, you must be over 18 and have completed all the obligatory fields in the membership form.
The equipment (computer, software, telecommunication system, etc.) that enables access to the Private Outlet services are provided exclusively at your expense, including the telecommunication costs incurred by using them.
You guarantee that the information you have provided us is exact and conforms to reality. You undertake to supply a real email address, which you actually own. In the event of your not receiving service messages that Private Outlet may have sent you, you hereby renounce all attempts to seek legal redress from Private Outlet.
Once you have become a member, you will be given a personal and confidential login name and password. These must not be communicated to or shared with a third party. In no event will Private Outlet be responsible for the loss of your login name and/or password.
In the event of your using these data in a manner contrary to their intended purpose, Private Outlet reserves the right to cancel your account without prior warning. You will have sole responsibility for the use of these ID data by third parties and for the actions and announcements made through your account, whether fraudulent or otherwise. You guarantee Private Outlet against all claims in this respect.
Furthermore, insofar as Private Outlet does not have the means of checking the identity of the persons who sign up for its services, it is not responsible if a member’s identity is usurped. If you think that someone is using your account or your identity, you must inform us of this immediately by sending a letter to the address listed below.
When a member wishes to sponsor a friend and gives Private Outlet that person’s address, the member undertakes to have secured prior consent from the friend to Private Outlet handling his details. Furthermore, he shall be exclusively responsible towards Private Outlet with regard to this individual, third parties, and the consequences of conveying his address to Private Outlet.
Article 2 - Use of Private Outlet
Once you have become a member, you will have free access to the Private Outlet Website.
Within the context of your use of Private Outlet, you promise to respect the following rules:
- To conform to the applicable law and to respect third party rights, including the dispositions here present.
- To treat Private Outlet and the other users in a loyal manner.
- To respect the intellectual property rights that apply to content supplied by Private Outlet and the other users.

- Not to disseminate information or content that has the effect of diminishing, disorganising, or preventing normal use of Private Outlet, of interrupting or slowing down the normal communications traffic between its members.
- Not to participate directly or indirectly in a network that aims to set up functions similar to sales and "snowballing" offers, as stated in articles L 122-6 et L 122-7 of the French consumer law.
- Not to take part directly or indirectly in setting up or developing a network that aims at implementing functions similar to multi level marketing (MLM) Furthermore, it is forbidden to recruit independent home-based sellers (HBS) with a view to establishing this kind of network or other services of a similar kind.
If a member should fail to observe one or more of these regulations, Private Outlet reserves the right to cancel his contract unilaterally and with no prior warning, to block the account(s) of the members concerned, to delete automatically all litigious messages, to prevent publication of all or part of a member's profile, and/or to block his access to all or a part of the services, in a temporary or definitive manner, with no recall. In any case, no reimbursement of sums paid by the user will be effected following the definitive removal of their account by Private Outlet.
Private Outlet cannot be held responsible for false declarations by a member.

Article 5 – Cancellation of your account

This request will be considered fulfilled on the next working day after Private Outlet was in receipt of the request to close the account in question.
In the event of failure on your part to meet the applicable conditions of use, Private Outlet reserves the right to suspend or to cancel your account without prior notice.
This cancellation will be effected without prejudice to all the damages and interests which could be reclaimed from you by Private Outlet, authorised persons or legal representatives to repair the harm done as a result of such a failure.
You will be sent an email informing you about the cancellation of your account. All data about you will be destroyed on your request or at the end of a period of 6 months following the cancellation of your account.
Article 6 - Responsibility
The information that a member provides must be exact and conform to reality. Any consequences arising from revealing this information on your life and/or that of other members are your exclusive responsibility. You renounce all proceedings against Private Outlet, notably about the basis of a possible attack on your right to your image, to your honour, and to the intimacy of your private life, resulting from the dissemination or revelation of information about you.
Private Outlet shall not be held responsible for the correct or incorrect nature of the information and content provided by the other members, the visitors to the website and/or yourselves. In the same way, Private Outlet shall be held responsible for content disseminated by a member that is capable of contravening the rights of one or more other members.
The quality of the www.privateoutlet.com website that is required, as much by Private Outlet as by its members, involves respecting a certain ethos with regard to the way its member express themselves or behave, respecting third party rights, and the applicable law and regulations. To assist this requirement for quality, for individual responsibility and an ethical approach, Private Outlet enables all its members to inform it about any information (photos, texts), behaviour or words by a member on the www.privateoutlet.com website that seem to infringe the applicable law and regulations, the image or the purpose of Private Outlet, third party rights or good practise. Consequently, its members recognise and accept that the data they supply, together with their behaviour and their words, are capable of being reported by other members and being moderated and/or checked by Private Outlet on the basis of objective appreciation criteria. In the hypothetical event that this notification or this check should reveal a violation by a member of the applicable law and regulations or of his contractual obligations, the dispositions of the Conditions of Use presented here, notably article 5 – “Cancellation of your account”, can be applied.
In the event that Private Outlet is taken to law to determine its responsibility for the failure by a member to observe the obligations that fall on him within the terms of the law or of these conditions of use, the latter undertakes to guarantee Private Outlet against all judgements pronounced against it, a guarantee that covers all the fines that might be payable and the legal fees and the court costs that it might incur.
Article 7 - How Private Outlet operates
Private Outlet does not guarantee that the services will operate with no interruption or functional fault. In particular, using these services could be interrupted momentarily for maintenance reasons, to enable technical investigations or improvements, or in order to develop the content and/or its presentation.
As far as possible, private Outlet will inform its members in advance of maintenance or investigative operations. You renounce all efforts to establish Private Option's responsibility with regard to the functioning and use of the www.privateoutlet.com website.
Similarly, Private Outlet shall not be held responsible if the Private Outlet Website becomes dysfunctional, impossible to access, or in a poor state for use, due to using equipment that is not adapted to it, to turbulence attributable to the internet provider of the user, to overcrowding on the internet and/or for any other reason not involving Private Outlet.
Private Outlet will not be responsible in any way for indirect damage incurred and especially for the loss of data (including copies) or loss of any material uploaded by you.
Article 8 – Modifications to Private Outlet

Article 9 – Governing law and jurisdiction
The present terms and conditions are governed, interpreted and applied according to French law. The French language is to be used in the event of a dispute about the meaning of a term or a disposition in the conditions of sale and of use here present. If there is any confusion about which governing law and jurisdiction applies, the place of jurisdiction shall be the Bobigny law courts, France, for dealing with all litigation relating to the present terms and conditions, including questions about their validity, interpretation, execution and/or their cancellation and its consequences, this list being not exhaustive.
Terms and Conditions of Sale
1. Identification of the Company
PRIVATE OUTLET is a "Société par actions simplifiées" (simplified stock company) with 38,000 € in capital. The company headquarters are situated at 5 rue de Landy – 93210 La Plaine ST DENIS, registered to the Register of Businesses and Companies (“registre du commerce et des sociétés”: RCS) in Bobigny under the n° B 492 978 580, proposes a service of private and event on-line sales of brand name products benefiting from significant discounts compared to store prices (hereinafter the "Products"). These sales take place on www.privateoutlet.com which is accessible from several European Union countries.
The prices, technical descriptions, photographs and references of the Products put up for sale by the Company are included on the Company's site.
2. Adhesion to these General Terms and Conditions
These general sales terms and conditions are available on the Company's site before the confirmation of the order. The customer declares that he/she is aware of the following conditions before placing an order for Products. As a result, the act of placing an order implies, from the purchaser, a formal adhesion, fully and without reservation to these general sales terms and conditions.
The Company may legally make changes at any moment to these general sales terms and conditions. The applicable general terms and conditions shall be those in force at the time the order is received.
The Products placed on sale by the Company are intended solely for end consumers and solely for their personal needs. The customer is forbidden any resale of Products acquired. In case of the customer's non-compliance with these commitments, he/she shall assume sole and full liability for damages arising from such actions.
3. Applicable Law
The applicable regulations to the proposed sale are those concerning distance selling in force in France today. Below, the Company summarises the main terms for the customer.
4. Recording the order
PRIVATE OUTLET's Internet site allows the customer to check the content of his/her order and, if necessary, to modify it and then confirm definitively it.
Thus, the order shall only be definitively registered after the final validation of the summary screen of the order. This final "click" is equivalent to the handwritten signature mentioned in article 1341 of the French Civil Code, hereinafter named as the "acceptance click". As of the "acceptance click" mentioned above, the order is deemed to be irrevocable and may only be challenged in the cases specifically defined below.
The information relating to your order is subject to automated data processing, which is the responsibility of SOGENACTIF. The purpose of this automated data processing is to define a level of analysis for a transaction and to fight against credit/debit card fraud.
SOGENACTIF and PRIVATE OUTLET are the recipients of the data relating to your order. Without the necessary data concerning your order, we cannot analyse or process your transaction.
Payment failure arising from a fraudulent use of a credit/debit card shall relate details concerning your order to this payment failure and register it in a payment incident file put in place by SOGENACTIF. An incorrect declaration or an error may also be subject to specific processing.
In accordance with the French "Loi Informatique et Libertés" (the law on data protection and civil liberties) of 6 January 1978, you have the right at all times to access, correct or object to all your personal information by sending a letter about this, including proof of your identity, to PRIVATE OUTLET, 5 rue du Landy - 93210 La Plaine Saint Denis.
5. Order confirmation and tracking
Following the definitive recording of the order placed, a confirmation e-mail is sent to the customer. By keeping this e-mail and/or printing it, the customer has proof of his/her order, which the Company recommends he/she keeps.
Warning: this e-mail is confirmation that the customer's order has been recorded by the Company, not that the Product ordered is available.
In the case of a stock shortage, the Company shall contact the customer within 10 working days following an e-mail notification of the sale's closing to offer him/her either a new time scale for receiving the Product, or a replacement Product, or the cancellation of the order and reimbursement.
6. Prices, payment and billing
The prices of the Products are given in Euros including taxes, not including delivery charges. The delivery charges, shown in article 7.1 of these general terms and conditions, are to be paid by the customer.
Any change in the VAT rate shall be automatically applied to the prices of the Products.
Payments will be made by Bank Card or PayPal when finalizing the order. The invoice for the Product shall be available to the customer in his/her order tracking area on the site as soon as the package is dispatched.
7. Delivery charges and delivery times
7.1. Delivery charges
The Products ordered shall be delivered to the address indicated by the customer. The latter is responsible for the address indicated in his/her order and for the Product being received properly.
The delivery charges are to be paid by the customer, except in the case specifically defined in article 10.
7.2. Delivery times
Except in cases of force majeure, delivery is within 30 days and is subject to stock availability. Delivery times are counted from the day after the day when the order was recorded.
8. Geographic area covered by the offer and geographic area for delivery
The Products placed on sale by the "Company" are offered and delivered to customers residing in metropolitan France, Germany, Austria, Belgium, Spain, Ireland, Italy, Luxembourg, the Netherlands, Portugal and the United Kingdom.
9. Verification of products delivered and complaints
Please remember to sign the mandatory delivery notice indicating that you accept the package under reserve of inspection. Indeed, if you notice any sign of it already being opened or damage upon receiving your order, you absolutely must refuse it. Our packages always leave our warehouses in pristine condition and are sealed by tape which must still be intact at the time of delivery.
Any complaint regarding noticeable flaws or the non-conformity of the Product delivered should be reported by the customer within the three working days from the date the customer receives the Product, by sending:

- or an e-mail via the contact form in the "Contact Us" category of the website.
If no complaint is made within the specified period, the Products delivered shall be deemed to be in conformity with these terms and acceptable to the customer.
10. Cooling-off period
The cooling-off period granted to the customer on the purchase of goods, under the terms of the law, is 7 (seven) days from the date his/her order is received. During this period, the customer may return the undesirable Product(s), at his/her own expense and with no other penalty charges.
It is acknowledged that the Product(s) returned at the customer's expense should be in its (their) original condition and packaging, as delivered by the Company.
No Product may be reimbursed before having been returned by the customer and received by the Company, in its original condition and packaging, as delivered by the "Company".
11. Guarantee and after-sales service
Whatever the reason, the customer benefits from the guarantee against hidden defects: thus, in the case in which a Product has a manufacturing flaw that makes it unfit for use, the customer may contact the Company's after-sales service:
- by sending an e-mail via the contact form on the page "Contact us".
- or by sending a registered letter to PRIVATE OUTLET at 5 rue de Landy 93210 La Plaine Saint Denis, France.
All the Products marketed by the Company benefit from a standard guarantee against hidden defects, provided by the Company's suppliers.
To benefit from this guarantee, the customer should send the Product to the Company, at his/her own expense, making sure to include the invoice. Then, the Company undertakes to send, at its expense, a Product free from hidden defects in exchange (unless there is a stock shortage).
In case of stock shortage and the impossibility for the supplier to change the Product, the customer shall be offered either a similar Product, or reimbursement for the initial Product.
Contractual guarantee: Any product sold by Private Outlet and covered by a contractual guarantee will be indicated as such in its related product description.
These products are covered for 2 years by a conformity guarantee and a hidden defect guarantee. The length of the contractual guarantee may vary depending on the brand. The terms and conditions are defined by the constructor and indicated in each product description which may be concerned.
12. Transaction security
In order to optimise transaction security over the Internet, an SSL (secure socket layer) on-line payment system is available to the customer, which enables the customer's credit/debit card number to be encrypted with a 128-bit key.
At the same time, the guarantees given by the Company in the context of transaction security are identical to those obtained by the Company from software manufacturers.
Warning: in order to benefit from the SSL secure on-line payment method, the customer must use browsers compatible with the SSL system.
13. Retention of title
The Company expressly reserves ownership of delivered Products until full payment of their price in principal and interests. The above conditions do not preclude the transfer of the risks of loss or deterioration to the customer. In the absence of full settlement, the Company shall legally demand the return of the Products delivered at the customer's expense.
14. Personal information and promotional offers
In application of the French law no 78-17 of January 6 1978 about information technology, data files and civil liberties, the information customers are asked to provide is necessary for handling their order and is intended for use by the Company's services. The customer has the right to access data held about him or her. On request, it may be communicated to the customer and, in the case of error or modification, be corrected. The customer may also object to the information being communicated to third parties by sending a letter at PRIVATE OUTLET - 5 rue de Landy - 93210 ST DENIS - FRANCE. The Customer expressly accepts that the Company may freely transfer the aforementioned data to companies belonging to the same group as the Company.
In accordance with the French law of June 21 2004 on confidence in the digital economy, the Customer consents to receive e-mails about promotional offers, by ticking the box provided for this purpose on the Company's Internet sites at the time he/she joined on a site managed by the Company. He/she may at any time abandon the receipt of promotional offers by clicking on the link provided for this purpose in each promotional offer e-mail sent.
15. Responsibility of the "Company"
The Company declines liability for any non-compliance with its contractual obligations in cases of unforeseeable circumstances or force majeure, including, but not limited to, catastrophes, fire, internal or external strike, internal or external breakdowns or failure, and, in general, any event not allowing orders to be processed properly.
The Company also declines liability in situations where the non-execution or incorrect execution of the contract is attributable to the customer.
Whatever the reason, if the non-execution or incorrect execution of the contract is clearly attributable to the "Company", the latter may only be held liable for compensation up to the amount paid by the customer in the context of the price of the product and the shipping costs.
16. Completeness clause
These general terms and conditions and the related sections (security, payment, delivery, guarantee, after-sales service) represent all the rights and duties of the parties with respect to the orders for Products on the Internet.
No general or specific condition communicated by the customer may be incorporated in these General Sales Terms and Conditions.
